← AdaTerms of Service

The fine print, kept plain.

Who we are

Ada is operated by Ada, Inc. (“Ada,” “we,” “us”), based in Nairobi, Kenya. “You” means the person or business using the service.

What Ada does

Ada helps you with bookkeeping, accounting, and tax-related tasks — reading the documents you send, preparing summaries and reports, and, where you ask us to, helping you file. Ada is a tool that assists you; it does not replace your own judgment or a licensed professional.

Who can use it

Ada is for businesses and for people aged 18 or over. By using it, you confirm you are old enough and that you are authorised to act for the business whose information you share.

Your account

We identify you by your WhatsApp number and sign you in with one-time passcodes. Keep your phone and number secure — anyone with access to them can use your account. Tell us promptly if you think your account has been compromised.

Your responsibilities

  • Give us accurate, complete information, and keep it up to date.
  • Only upload documents and data you have the right to share, and only authorise actions you intend us to take on your behalf.
  • Review what Ada prepares before you rely on it or submit it — you remain responsible for your own tax and financial obligations.
  • Use Ada lawfully, and not to attempt fraud, abuse, or misuse of the service.

Not professional advice

Ada provides assistance, not formal accounting, tax, legal, or financial advice, and its output may contain errors. You are responsible for checking anything important and for any return, filing, or decision you make. For complex or high-stakes matters, consult a qualified professional.

Messaging

Using Ada means exchanging messages with us on WhatsApp, which is provided by Meta and subject to its own terms. Standard message and data rates from your provider may apply. You can stop using the service at any time.

Fees

If your plan includes fees, we will make them clear before you are charged. We may change our fees with reasonable notice; continuing to use Ada after a change means you accept it.

Your data and privacy

You keep ownership of the information you send us. How we handle it is set out in our WhatsApp Privacy Policy. We own the Ada platform, software, and brand; these terms don’t give you any rights in them beyond using the service.

Third-party services

Ada relies on services we don’t control — such as WhatsApp, the Kenya Revenue Authority’s systems, and our cloud providers. We’re not responsible for their availability or for delays and outages caused by them.

Service availability

We work to keep Ada running well, but we provide it “as is” and can’t promise it will always be available, uninterrupted, or error-free. We may change, suspend, or discontinue features from time to time.

Limitation of liability

To the extent the law allows, Ada is not liable for indirect or consequential losses, or for lost profits, revenue, or data, arising from your use of the service. Nothing in these terms limits any liability that cannot be limited under Kenyan law.

Suspension and termination

You can stop using Ada at any time. We may suspend or end your access if you breach these terms or use the service in a way that risks harm to you, to us, or to others. You can ask us to delete your data as described in our privacy policy.

Changes to these terms

We may update these terms as the service evolves. If we make material changes, we’ll update this page and, where appropriate, let you know on WhatsApp. Continuing to use Ada after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of Kenya, and the courts of Kenya have jurisdiction over any dispute, without affecting any rights you have as a consumer under the law.
